SoulSync — Terms of Service

Last Updated: August 4, 2026

IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACCOUNT OR USING SOULSYNC, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING ARBITRATION CLAUSE IN SECTION 17 AND THE CLASS ACTION WAIVER IN SECTION 18. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

Welcome to SoulSync! These Terms of Service ("Terms") form a binding legal agreement between you and SoulSync, operated globally from Nairobi, Kenya. These Terms govern your access to and use of our platform worldwide.

1. Acceptance of Terms & The Christian Covenant

SoulSync is a dedicated Christian social platform, Creator Studio, and Church Management System (ChMS). By creating an account, signing in, or using the platform, you accept and agree to these Terms. You also solemnly pledge to uphold the Sacred Christian Vow (the "Covenant") during your registration:

  • To engage with other users in a spirit of Christian charity, truth, and love (Ephesians 4:15).
  • To resolve disagreements privately and biblically (Matthew 18:15-17).
  • To abstain from gossip, slander, malicious division, or any conduct that compromises the unity of the body of Christ.

A violation of the Covenant constitutes a material breach of these Terms, resulting in immediate moderation, suspension, or termination of your account.

2. Eligibility & Parental Consent (Ages 13-18)

You must be at least 13 years of age to register or use SoulSync. By registering, you warrant that you are at least 13 years of age.

  • For Minors (Ages 13 to 17): If you are under 18 years of age, you may only use SoulSync under the supervision and with the prior consent of a parent or legal guardian.
  • Parents and legal guardians are fully liable and responsible for the online conduct, moderation, and activities of minors under their supervision.
  • If we become aware that a user is under the age of 13, we will delete their account and associated data immediately.

3. Scope of Services & Multi-Tenancy CRM

SoulSync provides distinct, logically isolated service layers:

  • SoulSync Social (Peer-to-Peer): Allowing members to share posts, prayer requests, testimonies, Synctoks (video), devotionals, hymnbooks, and direct messages.
  • Creator Studio: Enabling verified creators to publish devotionals, video shorts (Synctoks), and host livestreams.
  • Ads Manager: Allowing churches and creators to run promoted campaigns with daily or lifetime budgets.
  • SoulSync ChMS (Staff-to-Member CRM): Enabling church administrations to manage directories, scheduling, attendance tracking, pastoral care, and children's check-ins.

Churches operate as separate, independent tenants on the SoulSync platform. Database isolation is enforced via database-level Row-Level Security (RLS). You acknowledge that church administrators are sole custodians of their tenants and member data, and SoulSync assumes no liability for their administration or data practices.

4. Account Lifecycle, Deactivation & Deletion

Users have full control over their account lifecycle in Profile Settings -> Danger Zone:

4.1 Account Deactivation

Deactivating your account temporarily hides your profile, posts, comments, and group memberships from public view. All account data remains safely stored, and you may reactivate instantly at any time by signing back in.

4.2 Account Deletion & 30-Day Retention Window

Initiating account deletion begins a formal data erasure process governed by global privacy laws (GDPR, CCPA, LGPD, POPIA, Kenya DPA):

  • Immediate Soft-Deletion: Your account and content disappear from public view instantly.
  • 30-Day Soft Retention Window: Your data is retained securely for 30 calendar days for statutory compliance, legal accountability, and user cool-off.
  • Reactivation via Login: Logging into your account within 30 days automatically cancels the deletion request and restores your active status.
  • Automated Hard Deletion & Anonymization: After 30 days, an automated background engine executes cascading hard deletions across database records, scrubs your account from Supabase Auth, and logs a non-PII audit record in data_deletion_audit_logs.

For full details, read our dedicated Data Deletion Policy.

5. Billing, Subscriptions & Payments

Certain premium ChMS features, creator tools, or ad campaigns require fee payment.

  • Payment processing is facilitated securely by Safaricom Daraja M-Pesa API and Stripe.
  • Fees are non-refundable except as required by applicable international or local consumer protection laws.

6. User Data Portability & Rights

Under global data privacy laws, you have the right to request a complete machine-readable copy of your personal data at any time via the Export My Data Report button in your Danger Zone settings.

7. Intellectual Property & Your Content

  • Your Content: You retain ownership of any text, prayer requests, Synctok videos, devotionals, or media you publish.
  • License to SoulSync: By posting content, you grant SoulSync a worldwide, non-exclusive, royalty-free, transferable license to display, host, transcode, and distribute your content solely for the purpose of operating the Services.
  • Our Intellectual Property: The SoulSync software, layouts, logos, branding, and features are owned exclusively by us and protected under international intellectual property treaties.

8. Disclaimer of Warranties

SOULSYNC IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INTERNATIONAL LAWS, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOULSYNC, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED KENYAN SHILLINGS (KES 100), OR THE AMOUNT PAID BY YOU TO SOULSYNC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Intermediary Safe Harbor

In accordance with international intermediary liability standards (including Section 230 of the US Communications Decency Act, the EU Digital Services Act, the UK Online Safety Act, and Section 16 of the Kenyan Computer Misuse and Cybercrimes Act, 2018), SoulSync acts as a host and intermediary. We are not liable for user-generated content or third-party church CRM listings.

11. Indemnification

You agree to defend, indemnify, and hold harmless SoulSync and its operators from and against any third-party claims, damages, liabilities, and expenses arising from your Content, breach of these Terms, or violation of third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform following updates constitutes acceptance of the revised Terms.

13. Governing Law & Local Protections

These Terms are governed by the laws of the Republic of Kenya. If you reside in a jurisdiction requiring local consumer law enforcement (such as the EU, UK, or North America), these Terms do not affect any mandatory statutory safeguards under your local laws.

14. Binding International Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration under the UNCITRAL Arbitration Rules administered by the International Chamber of Commerce (ICC), seated in Nairobi, Kenya (or virtually/remotely).

15. Class Action Waiver

YOU AND SOULSYNC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.
